Terms of Service

Effective Date: March 20, 2023

This Agreement (the “Agreement”) is an agreement between you and ResiBridge regarding your use of our internet and television services and any associated equipment, including any Wi-Fi routers (the “Equipment”). The internet and television services and the Equipment are collectively referred to herein as the “Service.”

This Agreement incorporates by reference ResiBridge’s Privacy Policy located at www.ResiBridge.com/privacypolicy, which governs the collection and use of your personal information. 

All references to “ResiBridge” in this Agreement mean ResiBridge Inc., its parents, subsidiaries, and affiliates, and any third parties ResiBridge may engage to provide the Services.

This is a binding legal document. You accept this Agreement by doing any one of the following: (i) written or electronic signature on any document that references this Agreement; (ii) informing ResiBridge electronically or orally of such acceptance; (iii) activating the Service or (iv) use of or payment for, in whole or in part, the Service. 

Accordingly, we may modify this Agreement from time to time. When changes are made, we will make the revised version available on this website (www.ResiBridge.com/terms-of-service) and will indicate at the top of this page the date that revisions were last made. Your use of the Service after such date of posting will constitute acceptance by you of those changes.

Our Service

Our Service enables our customers to access the Internet through our wireless network and fiber internet backbone. You agree that you will only use the Service in accordance with this Agreement, including without limitation the Acceptable Use section herein, and only for personal, residential and non-commercial purposes. You are prohibited from reselling or permitting another to resell the Service, in whole or in part, or using or permitting another to indirectly or directly use the Services for any unlawful purposes or in violation of applicable law.

We will strive to keep your speeds at the advertised speeds you purchased throughout most of your daily use. We do not control speeds beyond our fiber internet backbone, which are affected by several factors beyond our control.

We may interrupt those speeds if necessary for Equipment upgrades and network maintenance, and we will do our best to inform you of any such interruptions ahead of time.

Your Account

When you sign up for Services, you will be required to create an account and must be of legal age to do so. You are responsible for creating and maintaining a secure password.

You are solely responsible for ensuring that all other users of this Service under your account comply with the terms of this Agreement. You must provide accurate, current and complete information to ResiBridge when you create an account, and you must keep this information up-to-date at all times.

Installation and Maintenance

You authorize ResiBridge, and its employees, agents, contractors, and authorized representatives to enter your premises in order to install, maintain, inspect, repair and remove the required Equipment.

You represent and warrant to ResiBridge that you have full authority, without obtaining approval of any other person, to enter into this Agreement and to permit ResiBridge to enter the premises in order to install, maintain, inspect, repair and remove the required Equipment. If you are not the owner of the premises, upon our request, you will provide us with the owner's name and address, evidence that you are authorized to grant us access to the premises on the owner's behalf, and, if requested, written consent from the owner of the premises.

You will not remove our Equipment from the premises, modify the Equipment in any way, or connect the Equipment to any outlet other than the outlet to which the Equipment was initially connected to by our technician.

For service visits that require access to the exterior or roof of the premises, we will provide you advance notice of when the maintenance will take place. For service visits that require access to the interior of the premises, we will make reasonable efforts to coordinate with you a time as soon as practicable for the maintenance to take place.

ResiBridge provides support for the Service during normal business hours by email at: support@ResiBridge.com or by telephone at: 1-888-608-4417.

Fees and Billing

For our Service, we charge a non-refundable monthly fee which includes all applicable fees and taxes. Billing will commence on the date of activation of the Service. You agree to pay all charges associated with the Service. If your account is past due, and payment has not been received by the due date on your billing statement, you may be charged a late fee in addition to your past due balance at ResiBridge’s then current rate. If your account remains unpaid, your Service may be suspended or disconnected.

We reserve the right to change our prices. If we do so, we will notify customers in advance in order to allow you an opportunity to cancel your account before we apply those changes. All service fees are non-refundable.

If you disagree with any charge on your billing statement, you must contact ResiBridge via email at support@ResiBridge.com or telephone at 1-888-608-4417 no later than 60 days after the due date on your billing statement or you waive such dispute. Failure to pay charges by the due date on your billing statement may result in suspension of Service, the removal of all Equipment and/or the imposition of a late fee.

Termination or Expiration

We reserve the right to terminate the Service and this Agreement at any time for any reason not prohibited by law. You may terminate this service at any time by calling 1-888-608-4417 or by email support@ResiBridge.com

Unless otherwise terminated, this Agreement shall automatically renew on a month-to-month basis.

Equipment

Any Equipment provided to you for use with the Service must be maintained and returned in the condition in which it was provided to you. You bear the risk of loss, theft, destruction or damage to the Equipment from any cause.  No loss or damage to the Equipment or any part of the Equipment relieves you from your obligations under this Agreement.

After termination of Service, ResiBridge may request to remove and/or recollect the Equipment. You agree to make reasonable effort to coordinate time with us to let us come get the Equipment from inside the premises within 30 days of the request. After 60 days of the request, if you have not coordinated a time for us to collect the Equipment, you agree to pay a replacement fee of One Hundred and Fifty Dollars ($150.00), or the actual cost to purchase replacement Equipment (including a reasonable allowance for administrative and personnel costs), whichever is less.

You may request for us to remove the Equipment from your premises, and we will make a reasonable effort to complete this removal within 30 days of request. Failure by ResiBridge to remove Equipment after termination shall not be deemed an abandonment thereof.

The excessive use or abuse of network resources by one customer may have a negative impact on all of our other customers. You agree not to excessively utilize network resources in a manner that significantly weakens our network's performance, and we reserve the right to make that determination in our sole discretion.

Acceptable Use

You are also prohibited from using the Service for any of the following purposes:

  • Transmitting any material that, intentionally or unintentionally, would constitute a criminal offense or give rise to civil liability, or would otherwise violate any applicable law or regulation;

  • Harming, or attempting to harm, minors in any way;

  • Transmitting any material that threatens or encourages bodily harm, destruction of property of others or harasses another person;

  • Making fraudulent offers to sell or buy products, items, or services or to advance any type of financial scam such as "pyramid schemes," "Ponzi schemes," and "chain letters";

  • Deceiving or misleading, or attempting to impersonate any person by using forged headers or other identifying information;

  • Transmitting any unsolicited commercial email or unsolicited bulk email, or any other activities that have the effect of facilitating unsolicited commercial email or unsolicited bulk email;

  • Accessing, or attempting to access, the accounts of others, or penetrating, or attempting to penetrate, security measures of the Service or another entity's computer software or hardware;

  • Transmitting any material or otherwise reproducing, distributing or providing access to information, software and other material that infringes any copyright, trademark, patent, trade secret, or other proprietary rights of any third party;

  • Collecting, or attempting to collect, personal information about third parties without their knowledge or consent;

  • Reselling the Service without ResiBridge's authorization;

  • Using the Service for any activity that adversely affects the ability of other people or systems to use the Service or the Internet, including "denial of service" (DoS) attacks against another network host or individual user, interference with or disruption of other network users, network services or network equipment;

  • Engaging in account sharing, including, without limitation, permitting third parties to use your Service account and password, or relaying your connection to other homes or facilities;

  • Using the Service to post or transmit any information or software that contains a virus, "cancelbot", "Trojan horse", "worm" or other harmful or disruptive component; and/or

  • Otherwise using the Service or Equipment for any unlawful purpose.

 

Warranty

THE SERVICE AND EQUIPMENT[CB1]  ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WITHOUT WARRANTY OF ANY KIND, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. RESIBRIDGE DOES NOT WARRANT THAT THE SERVICE OR EQUIPMENT WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SERVICE AND EQUIPMENT WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF ANY VIRUSES, WORMS, SPAM, POP-UP ADVERTISING, SPYWARE, ADWARE OR OTHER HARMFUL COMPONENTS. WITHOUT LIMITING THE FOREGOING, YOU UNDERSTAND AND ACKNOWLEDGE THAT INTERNET CONGESTION AND OUTAGES, AS WELL AS MAINTENANCE, DOWNTIME, AND OTHER INTERRUPTIONS, MAY INTERFERE AT TIMES WITH YOUR ABILITY TO ACCESS THE SERVICE.

 

Limitation of Liability

THE LIMITATION OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO ANY AND ALL ACTS, OMISSIONS AND NEGLIGENCE OF RESIBRIDGE, ITS AFFILIATES AND ITS THIRD-PARTY SERVICE PROVIDERS, AGENTS AND SUPPLIERS (AND EACH OF THEIR RESPECTIVE OFFICERS, EMPLOYEES, AGENTS CONTRACTORS OR REPRESENTATIVES). IN NO EVENT SHALL RESIBRIDGE BE LIABLE TO CUSTOMER FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR CUSTOMER'S USE OF THE SERVICE OR EQUIPMENT, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND WHETHER ANY CLAIM FOR RECOVERY IS BASED ON THEORIES OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR OTHERWISE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL RESIBRIDGE'S AGGREGATE LIABILITY UNDER OR ARISING OUT OF THIS AGREEMENT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE THIRTY (30) DAYS PRIOR TO THE INCIDENT GIVING RISE TO A CLAIM. EXCEPT AS OTHERWISE REQUIRED BY APPLICABLE LAW, ANY CLAIM YOU MAY HAVE AGAINST RESIBRIDGE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ARISES. IF YOU DO NOT BRING A CLAIM WITHIN THIS PERIOD, YOU ARE BARRED FROM BRINGING SUCH CLAIM AND RESIBRIDGE WILL HAVE NO LIABILITY WITH RESPECT TO SUCH CLAIM. THIS SECTION SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT.

 

Indemnification

You agree to indemnify, defend and hold ResiBridge and its affiliates, and each of its and their officers, directors, employees and agents harmless from and against any third party suits, demands, claims or actions (each, a " Claim"), including any liability, cost, losses, damages, expenses, and reasonable attorney's fees, in each case arising from or in any way related to: (a) access or use of the Service and/or Equipment from your account (including Claims related to any use of the foregoing with software, data, content, systems, or other technology not provided by us); or (b) any violation of your representations, warranties and obligations under this Agreement. We will use good faith efforts to provide you with prompt notice of any such Claim. You agree that, upon our written notice to you, we will control the defense or settlement of any such Claim subject to indemnification by you, and you will provide reasonable cooperation to us at your expense. You may not settle an indemnifiable Claim without obtaining our prior written consent.

Change of Business

If ResiBridge or substantially all of its assets are sold, customer information will be one of the assets transferred to the acquirer and you consent to the transfer of such information.

Changes to our policy

We may modify this Agreement from time to time. When changes are made, we will make the revised version available on this webpage, and we will indicate at the top of this page the date that revisions were last made. Your use of our site or our Service after such posting will constitute acceptance by you of such changes.

Open Internet Statement

Effective Date: March 20, 2023

The Federal Communications Commission issued rules to preserve the Internet as an open platform. All Internet service providers are required to post information regarding various issues so that customers can make informed choices about choosing an Internet service provider. This document contains information regarding our services and in compliance with the FCC's rules. The policies contained herein serve as a supplement to the existing terms of service and privacy policy.

 

Network Management Practices

ResiBridge does not block any lawful content, applications, services, or your use of non-harmful devices, or discriminate in transmitting lawful network traffic except as reasonably necessary to manage our network effectively for the benefit of our subscribers as described below. All lawful Internet use is handled identically. ResiBridge does not slow, throttle or shape one type of use over another. ResiBridge reserves the right, in accordance with applicable law, to employ reasonable network practices to prevent certain harmful or illegal activity.

Congestion Management

ResiBridge does not engage in congestion management, nor limit usage.

 

Application-Specific Behavior

ResiBridge does not block or limit any applications or protocols.

Device Attachment Rules

ResiBridge does not limit the devices that consumers can connect to the network.

Security

ResiBridge engages in network monitoring to detect potential intrusion and denial of service attack. Additionally, end-users whose systems are compromised and which are sourcing malicious traffic may be contacted or suspended until the system is secured. We may block traffic to or from customers when a denial of service attack is in progress, and when such traffic is impacting network elements shared by other customers.

 

Performance Characteristics

Service description

ResiBridge’s Internet services are provided over our copper, fixed wireless and optical broadband network system.

Speed performance

ResiBridge actual customers' speeds are up to 100 Mbps for our Gold Plan and up to 300 Mbps for our Platinum Plan. The network is designed to support these speeds to help ensure that every subscriber receives the maximum speeds available to their home. ResiBridge, however, cannot guarantee speeds at all times, as there are many factors and conditions beyond ResiBridge’s control that can affect Internet performance. Some of these external factors and conditions are:

  • Performance of subscriber devices;

  • Congestion of web sites and services on Internet;

  • Web site or service limiting speeds on the Internet; and

  • Internet performance outside of the ResiBridge network

Entire Agreement

This Agreement sets forth the entire Agreement between ResiBridge and you and supersedes all previous agreements, whether oral or written, with respect to the subject matter hereof.  In the event that any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision of this Agreement, and all other provisions shall remain in full force and effect.
